INDEPENDENT CONTRACTOR SERVICES AGREEMENT (USA)

Contractor agrees to perform the following services:

Upon receipt of full payment, all deliverables shall be owned by Client as works made for hire under 17 U.S.C. § 101. Contractor retains the right to display work in their portfolio unless otherwise agreed in writing.

Contractor is an independent contractor, not an employee. Contractor controls the manner and means of performing services. Nothing herein creates an employment, partnership, or agency relationship. Contractor is solely responsible for their own equipment, insurance, and expenses.

Both parties agree to keep confidential any proprietary information or trade secrets disclosed during this engagement and not to disclose such information to third parties without prior written consent.
